1. Thang Long TM Vietnam Joint Stock Company agrees to supply products to customers according to the address provided by the customer.

2. According to the type of product, herein referred to as “Product” will be delivered to customers for sale at the head office and Addresses according to the address provided by the customer.

• TaylorMade Golf (TM) brand – Golf Tools / Accessories

3. Customers will strictly comply with the standards for displaying and selling Products at the Location as given in the standard instructions of Thang Long TM Vietnam Joint Stock Company.

4. Customers are allowed a maximum discount from the retail price for new product lines during the year according to the Company's regulations.

5. Customers must comply with the price policy. Customers must receive written consent from Thang Long TM Vietnam Joint Stock Company before performing any discount action at the Location. Thang Long TM Vietnam Joint Stock Company has the right to retain goods if customers do not comply with the price policy announced by Thang Long TM Vietnam Joint Stock Company.

6. All equipment / fixtures / shelves / mirrors / hangers for displaying and selling products at the Venue will remain the property of Thang Long TM Vietnam Joint Stock Company.

a. Thang Long TM Vietnam Joint Stock Company will install free of charge equipment / fixtures / shelves / mirrors / hangers to display and sell products for sale at the Location. This equipment / fixture / shelf / mirror / hanger will only be used to display Products of Thang Long TM Vietnam Joint Stock Company. This equipment will not be removed or removed from the Site without the prior written consent of Thang Long TM Vietnam Joint Stock Company.

b. Thang Long TM Vietnam Joint Stock Company will provide maintenance services for the equipment mentioned in Article 6 (a) as follows:

• Replace any fixtures / fixtures / shelves / mirrors / hangers that are damaged during normal use.

• Replace all product and brand displays on merchandising equipment / racks as necessary to ensure a neat and clean appearance consistent with TaylorMade Golf brand.

7. Customer may not use TaylorMade Golf logos, trademarks, badges or other intellectual property in any of its advertising or promotional materials without the written consent by Thang Long TM Vietnam Joint Stock Company.

8. Customer may not directly or indirectly sell any Goods outside the territory of the Socialist Republic of Vietnam or to any person within Vietnam who knows or has reason to believe that they will be resold outside Vietnam.

9. Customers must purchase all TaylorMade Golf products from Thang Long TM Vietnam Joint Stock Company. In case the customer violates this term, Thang Long TM Vietnam Joint Stock Company has the full right to make decisions. Correspondingly, if serious, the contract will be terminated, specifically as follows:

Nothing in this agreement shall be implied or construed as a condition to constitute a partnership or joint venture between the parties, nor shall anything in this agreement be construed as a condition for the customer to become a become a customer or representative of Thang Long TM Vietnam Joint Stock Company and the customer will not be declared a customer or representative of Thang Long TM Vietnam Joint Stock Company. Customers will not have the right to represent Thang Long TM Vietnam Joint Stock Company or any member company of Thang Long TM Vietnam Joint Stock Company.
